2.4 Information Processed on Behalf of Our Clients
Our platform enables business clients to upload, process, and manage contact lists and customer data. When our clients use our Services to conduct outreach campaigns, manage leads, or automate communications, we process personal data on their behalf as a data processor. In these cases, our clients are the data controllers and are responsible for ensuring they have the appropriate legal basis to share that data with us and to conduct outreach to their contacts.

Service Delivery: To provide, operate, maintain, and improve our Services, including processing your account registration, managing your subscription, facilitating AI-powered outreach campaigns, operating our AI receptionist and scheduling tools, and delivering the features you have requested.

4. SMS and Text Message Communications — Opt-In and Opt-Out Policy
Important Notice Regarding SMS Communications
AgentX LLC and its clients may send SMS (text message) communications to individuals who have provided their phone number and given express written consent to receive such messages. All SMS communications are conducted in compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state laws.
4.1 SMS Opt-In
You may receive SMS messages from AgentX or from our clients using our platform only if you have provided your explicit, prior written consent to receive such messages. Consent may be obtained through a web form, a written agreement, a verbal agreement recorded in compliance with applicable law, or by texting a designated keyword to a short code or long code number. By opting in, you agree to receive text messages that may include appointment reminders, follow-up messages, promotional offers, service updates, and other business-related communications.
Message frequency varies depending on your interactions with our clients and the nature of the campaign. Standard message and data rates from your mobile carrier may apply. You are not required to consent to receive SMS messages as a condition of purchasing any goods or services.
4.2 SMS Opt-Out
You may opt out of receiving SMS messages at any time by replying STOP to any text message you receive from us or from a client using our platform. Upon receipt of your STOP message, we will send you a final confirmation message and you will be removed from the messaging list immediately. You will not receive any further SMS messages unless you re-opt-in.
You may also opt out by replying UNSUBSCRIBE, CANCEL, END, or QUIT to any SMS message. To re-subscribe after opting out, you may text START or YES to the same number, or re-submit your consent through the appropriate opt-in form.

4.3 SMS Help
To receive help regarding our SMS program, reply HELP to any text message or contact us at [email protected]. Supported carriers include, but are not limited to, AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and other major wireless carriers. Carrier liability is not assumed.
4.4 Client Responsibilities for SMS
Clients who use our platform to send SMS messages to their contacts are solely responsible for obtaining and maintaining valid, documented consent from each recipient prior to sending any SMS communications. Clients must comply with all applicable laws and regulations, including the TCPA, and must maintain records of consent. AgentX provides the technology platform but does not independently verify that clients have obtained proper consent from their contacts. Clients agree to indemnify and hold AgentX harmless from any claims arising from their failure to obtain proper consent.
5. Email Communications and Opt-Out
We may send you marketing and promotional emails about our Services. You may opt out of receiving marketing emails at any time by clicking the "Unsubscribe" link in any marketing email or by contacting us at [email protected]. Please note that even if you opt out of marketing emails, we may still send you transactional and administrative emails related to your account and our Services.
Our platform enables clients to conduct AI-powered email outreach campaigns. All such campaigns must comply with the CAN-SPAM Act and applicable anti-spam laws. Each outreach email sent through our platform includes an unsubscribe mechanism. Recipients who unsubscribe are removed from the relevant campaign and will not receive further emails from that campaign.
6. How We Share Your Information
We do not sell your personal information to third parties. We may share your information in the following circumstances:
Service Providers: We share information with third-party vendors and service providers that perform services on our behalf, including cloud hosting (database and file storage), payment processing, email delivery, analytics, customer support, and advertising. Business Clients: If you are a contact in a client's database, the client who uploaded your information has access to it through our platform. We process that data on the client's behalf and in accordance with their instructions.

This may include hashed email addresses, phone numbers, and behavioral data. You can manage your advertising preferences through the relevant platform's privacy settings.
Legal Requirements: We may disclose your information if required to do so by law, in response to a subpoena, court order, or other legal process, or when we believe disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or comply with a government request.
Business Transfers: In the event of a merger, acquisition, reorganization, bankruptcy, or sale of all or a portion of our assets, your information may be transferred as part of that transaction. We will notify you via email and/or a prominent notice on our website of any change in ownership or uses of your personal information.

Campaign data and lead information uploaded by clients is retained for the duration of the client's subscription and for up to 90 days after account termination, after which it is permanently deleted unless the client requests earlier deletion.

These measures include encrypted data transmission (TLS/SSL), encrypted storage, access controls, regular security assessments, and employee training.
